Societatea cu răspundere limitată (SRL) este cea mai întâlnită formă de organizare a unei societăți în România, având și cele mai multe avantaje: se înființează într-un timp relativ scurt (2-3 zile) și cu un capital social minim de 200 de lei.
În plus, după cum îi spune și numele, asociații și administratorii au răspundere limitată de capitalul social depus de fiecare la înființarea firmei. Indiferent dacă ești asociat într-un SRL sau dacă te-ai gândit să îți deschizi o firmă, probabil te-ai întrebat măcar o dată ce înseamnă să fii administrator într-un SRL.
În principiu, administratorul are rolul unui organ executiv al firmei, ca un fel de guvern dintr-o țară democratică. El se ocupă de punerea în aplicare a deciziilor Adunării Generale a Asociaților (AGA) societății, precum și de punerea în aplicare a prevederilor actului constitutiv.
Administratorul este obligat ca, la înființarea societății, să încheie formalitățile necesare pentru înregistrarea societății respective la Registrul Comerțului. De asemenea, potrivit Legii nr. 31/1990 (Legea societăților) el este obligat să depună un exemplar al semnăturii sale la Registrul Comerțului, împreună cu actul constitutiv al societății.
După înregistrarea societății, administratorul are rolul de a gestiona activitățile de zi cu zi ale firmei, în calitate de reprezentant legal.
